Vermont LLC Filing Fees: The 2026 Breakdown

Two corrections up front, because most of the internet still gets Vermont wrong. The Articles of Organization fee is $155, not the $125 that older guides repeat; and the LLC annual report is $45, not $35. Both figures come from the current fee schedule under 11 V.S.A. § 4012, published on the Secretary of State's fees and statutes page. Everything below matches that schedule.

Formation Fee: $155

Filing Articles of Organization with the Vermont Secretary of State runs a one-time $155. The filing is submitted online through the Online Business Service Center; Vermont offers no mail-in route for LLC formation, so there is no separate paper price to compare.

Annual Report Fee: $45 Per Year

Every Vermont LLC files an annual report for $45 (domestic rate; foreign LLCs registered in Vermont pay $170). The report is due within three months after the end of the LLC's fiscal year on record, which works out to January 1 through March 31 for calendar-year companies. It is filed online only. Skip it and Vermont adds a late penalty, pulls the LLC out of good standing, and can eventually dissolve it administratively under 11 V.S.A. § 4039.

Changing Your Registered Agent: $35

Swapping agents later is an online-only Statement of Change filed with the Secretary of State for $35 under 11 V.S.A. § 4008. There is no paper form for it.

Registering an Out-of-State LLC: $155

An LLC formed elsewhere that wants to operate in Vermont files for a Certificate of Authority at $155, then owes the $170 foreign annual report each year. Our foreign qualification service is $199 plus state fees; we prepare and file the application for you.
